Contractors Portal Member Terms and Conditions

A Portal Member is one who has provided information about their company to Basement Spaces Inc. (the parent company of Basement Ideas) with the intention of being listed in the Basement Ideas website portal. Listings are for informational purposes only and are not endorsements. Basement Spaces Inc. cannot guarantee that you will receive any work from your listing. However, we will work hard to continually improve the portal to better increase your odds and exposure. As a Portal Member you agree to the following Terms and Conditions:

Renewal and Termination

Either Basement Spaces, Inc. or the Portal Member may terminate this agreement for any reason with notice. Notice of termination must be issued in written form. No refunds will be issued for the initial subscription. Portal Membership subscriptions run one year in length from the signup date. Member listings will automatically renew upon the anniversary of the signup date. Portal Members not wishing to renew may inform us in writing any time up to their signup anniversary date at which point they will be not be renewed. All listings will be then be removed from the system.

Members that are automatically renewed for the 2nd and subsequent annual periods will have a one month grace period from their signup anniversary date with which they may contact us in writing for a refund of the upcoming year's annual subscription. No refunds will be issued after this one month grace period.

Insurance

The Portal Member will carry comprehensive general liability insurance with the required minimum amount for the particular trade, as set by state law. Portal Members upon request will provide Basement Spaces Inc. with a certificate of insurance that includes the policy number, insurance provider and effective dates.

A Portal Member must have Workers' Compensation Insurance where required by law.

Licenses

Portal Members must provide current proof of state/local licenses as provided by law where regulated. This includes all electricians and plumbers.

Subcontractors

Any subcontractors used by the Portal Member must carry the appropriate insurance requirements and be able to provide proof of any required state/local licenses where regulated.

Responsibility

Portal Members must practice high standards of integrity, honesty and be responsible in their dealings with customers. Upon executing an agreement with a customer, the Portal Member is responsible for all terms and conditions outlined in the terms of the contract based on State requirements for content.

Independent Contractor

Portal Members are not employees of Basement Spaces Inc. All Portal Members are independent contractors.

Indemnity

Portal Members shall take all necessary precautions to prevent injury or property damage to any customer or other person they have contracted with. Portal Members shall indemnify and hold Basement Spaces Inc. and its officers, agents directors, and employees against any claim, loss, judgment, expense and injury to person or property resulting directly or indirectly, in whole or part, for any act, omission, or negligence on the part of the Portal Member or any subcontractors employed by the Portal Member, in the performance or failure to perform the scope of work covered by these Terms and Conditions.

Modifications to Terms and Conditions

These terms and conditions constitute the entire agreement between Portal Members and Basement Spaces Inc. We reserve the right to change these Terms and Conditions at our sole discretion and authority.

Applicable Law

The laws of the State of Illinois shall govern these Terms and Conditions.
